Photo Submission Agreement

First, please read the following:

This Photo Submission Agreement ("Agreement") is made effective as of the date of acceptance by the contributor ("Contributor") and is entered into by and between Sublime Media LLC d/b/a Moda Raffinata, a print and electronic fashion magazine with its principal place of business in San Francisco, CA, USA, and the Contributor.

1. Submission of Photos
   By submitting photos ("Photos") to Publisher for consideration for publication in Moda Raffinata ("Magazine"), Contributor agrees to the following terms and conditions:
   
   
2. Ownership and Copyright
   Contributor represents and warrants that:
1. Contributor is the sole owner of all rights, title, and interest in and to the Photos;
2. Contributor controls all copyrights and other intellectual property rights in the Photos.
3. The Photos do not infringe upon or violate any rights of any third party, including but not limited to copyright, trademark, privacy, or publicity rights.
   
   
3. Grant of Rights
   Contributor grants Publisher a non-exclusive, royalty-free, worldwide license to use, reproduce, display, and distribute the Photos in connection with the Magazine, including but not limited to print and digital editions, promotional materials, and online platforms.
   
   
4. Credit
   Publisher shall use its best efforts to credit Contributor for the Photos by including Contributor's social media tags in the Magazine. The credit will appear in close proximity to the Photos, as is practicable.
   
   
5. No Compensation
   Contributor acknowledges that the submission of Photos is voluntary and agrees that no compensation will be provided for the use of the Photos unless otherwise explicitly agreed upon in writing by Publisher.
   
   
6. Indemnification
   Contributor agrees to indemnify, defend, and hold harmless Publisher, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or related to any breach of the representations, warranties, or covenants made by Contributor in this Agreement.
   
   
7. Termination
   Publisher reserves the right to reject or remove any Photos at its discretion. Contributor may withdraw their consent for publication of Photos at any time prior to publication by providing written notice to Publisher. Upon withdrawal, Publisher will cease further use of the Photos as soon as reasonably practicable.
   
   
8. Governing Law
   This Agreement shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law principles.
   
   
9. Entire Agreement
   This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, or representations, whether oral or written.
   
   
10. Amendment
    This Agreement may only be amended or modified by a written instrument executed by both parties.

IN WITNESS WHEREOF, the parties hereto have made this Agreement as of the date of submission of the Photos.
